Terms of Service

1. Scope of Engagement

These Terms govern the web engineering, development, hosting, and AI services provided by LeadScrub Digital Ltd (Company No: 14892019) to commercial clients.

2. Code Ownership & Intellectual Property

We believe in transparency and client sovereignty. Our ownership policies are strictly defined as follows:

• One-Time Fixed Builds (Launch £400, Growth £800, Commerce £1,500): You own 100% of your source code repository, custom graphics, domain, and lead databases upon settlement of the final build invoice. Zero vendor lock-in.
• Option B — Managed All-In-One Super Package (From £280/mo): Bespoke development, continuous changes, and edge hosting costs are amortized over a 12-month development commitment. Full source code repository export rights and domain transfer occur upon completion of the 12-month term. Early buyout of remaining commitment balance is available anytime.
• Monthly Care & Retainers: Cancel anytime with 30 days' notice. Rolling monthly agreement for updates to existing sites.

3. Payments & Invoicing

Fixed build projects require a 50% initial sprint deposit before development commences, with the 50% remainder due upon client staging review and final sign-off. Payments are settled securely via Stripe card authorization or UK BACS bank transfer. All invoices include official HMRC-compliant VAT breakdowns.

4. Sprint Delivery & Service Level Standards

We commit to agreed sprint milestones outlined in your initial Technical Specification Brief. Should a delivery milestone require adjustment due to scope expansion or internal revision, dedicated priority developer hours are committed at zero additional cost until project completion and final client sign-off.

5. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes.
